End-user licence agreement and terms of use
These terms apply to Cozy for QuickBooks Online, a private, single-user, read-only command-line integration operated by MFD LABS LTD.
1. Agreement
By connecting a QuickBooks Online company to Cozy or using the integration, you agree to these terms and the Privacy Policy. If you do not agree, do not connect or use the integration.
2. Operator
Cozy for QuickBooks Online is operated by MFD LABS LTD, a company registered in England and Wales under company number 11660751, with its registered office at 61 Bridge Street, Kington, HR5 3DJ, United Kingdom.
3. Licence
MFD LABS LTD grants the authorised user a limited, revocable, non-exclusive and non-transferable licence to run the integration for the company's internal bookkeeping, reporting, annual accounts and tax compliance work.
4. Authority and acceptable use
You may connect only a QuickBooks Online company that you own or are authorised to administer. You must:
- Keep your Intuit account, device and local credentials secure.
- Use the integration only for lawful internal business purposes.
- Review exported data and reports before relying on them.
- Disconnect the integration promptly if access is no longer required or authorised.
You must not provide another person with access to QuickBooks data through Cozy, attempt to access another organisation's data, interfere with Intuit's services or use the integration to provide a public or competing service.
5. QuickBooks access
The integration requests the QuickBooks Online Accounting scope. It uses this permission to read company information, the chart of accounts, balances and financial reports requested by the user.
The current integration does not create or change transactions, issue invoices, operate payroll, initiate payments, move money or make changes to the connected QuickBooks company.
6. Data
QuickBooks data is used only to provide the requested accounting and reporting functionality. It is not sold, used for advertising, shared between customers or used to build profiles unrelated to that functionality. Details about local storage, retention, deletion and service providers are in the Privacy Policy.
7. Intuit
QuickBooks Online and its APIs are provided by Intuit under separate terms. MFD LABS LTD is not Intuit, and Intuit does not sponsor or endorse Cozy. QuickBooks and Intuit are trademarks of Intuit Inc. Availability of the integration depends on Intuit's services, permissions and API policies.
8. Accounting and tax responsibility
Cozy is a data-access and workflow tool. It does not replace professional judgement or remove the legal responsibilities of the company and its directors. The authorised user remains responsible for reviewing the books, accounts, tax computations and submissions, and for obtaining professional advice where appropriate.
9. Availability and changes
The integration is provided on an as-available basis. We may change, suspend or discontinue it, particularly when required by security, legal or Intuit API changes. We do not guarantee uninterrupted or error-free access.
10. Intellectual property
MFD LABS LTD and its licensors retain all rights in Cozy, this website and their original content. These terms do not transfer ownership of the software, branding or documentation.
11. Disclaimer and liability
To the fullest extent permitted by law, the integration is provided without warranties beyond those that cannot lawfully be excluded. MFD LABS LTD is not liable for indirect or consequential loss, loss caused by inaccurate source data, or interruption or changes to Intuit's services.
Nothing in these terms excludes liability where exclusion is prohibited by law, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence.
12. Ending access
You may stop using Cozy at any time. To end access, disconnect the app in QuickBooks Online and delete QUICKBOOKS_TOKEN_JSON from the Cozy vault. MFD LABS LTD may end the licence if these terms are breached or continued access would create a legal or security risk.
13. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory rights that apply under law.
